Data processing
Scope. This DPA applies to the Processing of Personal Data in connection with the Services.
Roles. The Parties’ respective roles for the Processing of Personal Data are as follows:
Controller and Processor. If Customer determines the purposes and means of Processing, Customer is a Controller and CRScube is a Processor.
Processor and Sub-Processor. If Customer Processes Personal Data for a third party, Customer is a Processor and CRScube is a Sub-Processor.
Support Services. To the extent CRScube provides support services to Customer (including technical, administrative, or operational support, whether escalated by Reseller), Customer agrees that CRScube’s access to Personal Data for such support or troubleshooting purposes constitutes a Documented Instruction. CRScube will Process Personal Data as a Processor (or Sub-Processor) in accordance with this DPA.
Details of Data Processing. The specific details of the Processing of Personal Data are set forth in Appendix 1.
Compliance with Laws. Each Party is responsible for complying with the Data Protection Laws applicable to it and binding on it under this DPA.
3
.
Customer instructions
Documented Instructions. CRScube Processes Personal Data in accordance with the Documented Instructions (which, if Customer is a Processor, may be based on the instructions of the relevant Controller).
Additional Instructions. Any instructions outside the scope of the Documented Instructions require prior written agreement between CRScube and Customer, including agreement on any additional fees payable by Customer to CRScube. If CRScube declines or is unable to follow additional or amended instructions requested by Customer that are outside the scope of, or changed from, those given or agreed to be given in this DPA, Customer is entitled to terminate the affected Agreement upon written notice.
Infringement of Laws. Customer agrees that CRScube has no general obligation to monitor or verify the legality or accuracy of any Documented Instructions or Personal Data provided by Customer. If CRScube forms a reasonable opinion that the Documented Instructions infringe the Data Protection Laws, CRScube will promptly inform Customer, and CRScube will have the right to suspend performance of the affected Processing without liability until Customer confirms, amends, or withdraws such Documented Instructions.
4
.
Customer obligations
Compliance and Authority. Customer will comply with the Data Protection Laws applicable to it in its role (whether as a Controller or a Processor) under the Agreement and represents and warrants that (a) it has all necessary legal bases, notices, and authorizations to provide Personal Data to CRScube (or its Sub-Processors); (b) the Documented Instructions comply with the Data Protection Laws; (c) if Customer is a Processor, it has obtained all required approvals from its Controller for CRScube’s engagement; and (d) Personal Data does not exceed the scope set forth in Section 2.

Notice and Frequency. Customer must provide CRScube with at least thirty (30) days’ prior written notice of its intention to conduct an audit. An audit will be conducted no more than once per twelve (12) month period, except as required by a binding order of a supervisory authority or following Personal Data Breach.
Scope and Limitations. An audit will be conducted during CRScube’s normal business hours, will not exceed three (3) business days, and will be designed to minimize disruption to CRScube’s business operations. Audit will be strictly limited to systems, facilities, and documentation directly used to Process Personal Data. Under no circumstances will Customer or its auditor be entitled to access CRScube’s source code, trade secrets, confidential information, or any data belonging to CRScube’s other customers.
Auditor Requirements. Any third-party auditor designated by Customer must be an independent, qualified professional, will not be a competitor of CRScube, and will execute a non-disclosure agreement in a form reasonably acceptable to CRScube prior to commencement of the audit.

Each Party’s total aggregate liability arising from or in connection with this DPA, any breach hereof, or the Processing of Personal Data (whether in contract, tort, indemnification, or otherwise) will be strictly subject to the exclusions, disclaimers, and aggregate liability caps set forth in the Agreement. Nothing in this DPA will be construed as expanding, increasing, or creating an independent cap on CRScube’s liability beyond the limits specified in the Agreement.
Data Legality and Compliance Assessment. Customer assumes sole responsibility for the accuracy, quality, integrity, and lawful acquisition of Personal Data provided to CRScube. CRScube has no obligation to evaluate the content or nature of Personal Data to identify specific legal, industry, or regulatory requirements applicable to Customer. Customer is solely responsible for evaluating CRScube’s security measures and independently determining whether the Services satisfy Customer’s legal and compliance obligations under the Data Protection Laws.
